Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Talent Vaultapplication and related services (collectively, the "Service") provided by Talent Vault("we," "us," or "our").

Please read these Terms carefully before using the Service. By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Service.

1. Description of Service

The Service provides Users (recruiters, TAs, Headhunters, SMEs) with a platform to upload, store, and search the content of resumes they have collected, using both keyword and semantic search capabilities. The Service is intended as a focused tool for managing and re-searching your existing candidate pool.

2. Eligibility and Accounts

  • You must be at least 18 years old or the age of majority in your jurisdiction to use the Service.
  • You must register for an account to use the Service, providing accurate and complete information.
  • You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3. User Responsibilities and Content

  • Uploaded Content: You are solely responsible for the resumes and any other content you upload, store, or process using the Service ("User Content"). This includes Candidate Data contained within resumes.
  • Rights to Content: You represent and warrant that you have all necessary rights, licenses, consents, and permissions to upload User Content (including Candidate Data) to the Service and to allow us to process it as described in these Terms and our Privacy Policy. This includes compliance with all applicable data protection and privacy laws (e.g., GDPR, CCPA) regarding the collection, storage, and processing of Candidate Data.
  • Compliance with Laws: You agree to use the Service in compliance with all applicable local, state, national, and international laws, rules, and regulations, including those related to data privacy, data security, and intellectual property.
  • Prohibited Use: You agree not to use the Service to:
    • Upload or transmit any material that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
    • Upload or transmit viruses, worms, or any other malicious code.
    • Infringe upon the intellectual property rights or other rights of any third party.
    • Attempt to gain unauthorized access to the Service, other accounts, or computer systems or networks connected to the Service.
    • Interfere with or disrupt the integrity or performance of the Service or the data contained therein.
    • Use the Service for any purpose other than its intended use of storing and searching resumes for recruitment purposes.

4. Intellectual Property

  • Our Intellectual Property: The Service and its underlying technology, including software, interfaces, graphics, design, compilation, information, data, computer code, and all other elements, are owned by Talent Vault or our licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes as permitted by these Terms.
  • Your Content: You retain ownership of your User Content (including the Candidate Data within resumes). By uploading User Content, you grant Talent Vault a worldwide, non-exclusive, royalty-free license to host, store, transfer, process, analyze, modify (for formatting or indexing purposes), and display your User Content solely for the purpose of providing and improving the Service to you. This license ends when you delete your User Content or your account, except to the extent necessary for us to comply with legal obligations or maintain backup archives.

5. Fees and Payment

Example: Access to certain features of the Service may require payment of subscription fees. All fees are non-refundable except as required by law or as explicitly stated. Failure to pay fees may result in suspension or termination of your access to paid features.

6. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Talent Vault DOES NOT WARRANT THAT: (A) THE SERVICE WILL BE SECURE, ERROR-FREE, OR UNINTERRUPTED; (B) THE RESULTS OBTAINED FROM THE USE OF THE SERVICE (INCLUDING SEARCH RESULTS) WILL BE ACCURATE, COMPLETE, OR RELIABLE; (C) ANY DEFECTS OR ERRORS WILL BE CORRECTED; OR (D) THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

YOU ACKNOWLEDGE THAT THE SERVICE RELIES ON PROCESSING THE CONTENT OF RESUMES AS UPLOADED BY YOU. WE ARE NOT RESPONSIBLE FOR THE ACCURACY, COMPLETENESS, OR LEGALITY OF THE CANDIDATE DATA CONTAINED WITHIN THOSE RESUMES. SEMANTIC SEARCH RESULTS ARE BASED ON ALGORITHMIC INTERPRETATIONS AND MAY NOT ALWAYS PERFECTLY MATCH INTENDED MEANING OR RELEVANCE.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Talent Vault, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (C) ANY CONTENT OBTAINED FROM THE SERVICE (INCLUDING USER CONTENT); OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF Talent Vault EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (USD $100.00) OR THE AMOUNT YOU PAID US, IF ANY, IN THE PAST SIX MONTHS FOR THE SERVICE GIVING RISE TO THE CLAIM.

8. Indemnification

You agree to defend, indemnify, and hold harmless Talent Vault and its affiliates, directors, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to the Service; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including without limitation any right of privacy, publicity rights, or intellectual property rights; (d) your violation of any applicable law, rule, or regulation; or (e) any User Content you upload or process through the Service, including any claim that your User Content (specifically Candidate Data) was collected, stored, or processed in violation of applicable data protection laws or without necessary consent.

9. Termination

  • We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.
  • You may terminate your account at any time by following the instructions within the Service or contacting us.
  • Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of [Governing Law Jurisdiction, e.g., the State of California, USA], without regard to its conflict of law provisions.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect, likely via email or a notice within the Service. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
